1. Agreement to Terms
By accessing or using ClipIt ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms.
2. Description of Service
ClipIt is an AI-powered content intelligence platform that helps content creators analyze their performance across YouTube, Instagram, and TikTok. Our services include:
- Content performance analytics and insights
- AI-powered recommendations for thumbnails, titles, and content strategy
- Historical data tracking and trend analysis
- Conversational AI assistant for personalized guidance
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.
4. Platform Connections and Authorizations
By connecting your YouTube, Instagram, or TikTok accounts to ClipIt, you:
- Authorize us to access your public content data and analytics through official platform APIs
- Confirm that you have the authority to grant this access
- Understand that we will store and process this data according to our Privacy Policy
- Agree to comply with each platform's terms of service
YouTube API Services: ClipIt's use of information received from YouTube APIs adheres to the YouTube API Services Terms of Service. You can revoke ClipIt's access at any time via Google Security Settings.
You may disconnect any platform at any time through your account settings. Upon disconnection, we will stop collecting new data and delete stored data according to our data retention policy.
5. Subscription Plans and Billing
5.1 Free Trial
New users may be eligible for a 7-day free trial. At the end of the trial, you will be automatically charged for your selected plan unless you cancel before the trial ends.
5.2 Subscription Fees
Paid subscriptions are billed in advance on a monthly or annual basis. Prices are in US dollars and subject to change with 30 days' notice. Changes do not affect current billing periods.
5.3 Payment Processing
Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for subscription fees. You are responsible for keeping payment information current.
5.4 Cancellation and Refunds
You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation:
- You will retain access until the end of your current billing period
- No partial refunds are provided for unused time
- Refunds may be considered on a case-by-case basis within 7 days of initial purchase
5.5 Usage Limits
Each subscription tier includes specific limits on connected platforms, analyzed videos, and AI messages. Exceeding these limits may require upgrading to a higher tier. We will notify you as you approach your limits.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or attempt to extract source code
- Use automated systems (bots, scrapers) except through our official APIs
- Share your account credentials or allow others to access your account
- Resell, redistribute, or sublicense access to the Service
- Use the Service to harass, abuse, or harm others
- Submit content that infringes intellectual property rights
- Manipulate or artificially inflate platform metrics
Violation of these terms may result in immediate termination of your account without refund.
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by ClipIt and protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.
7.2 Your Content
You retain all rights to the content you create and publish on third-party platforms. By connecting your accounts, you grant us a limited license to access, store, and analyze your publicly available content data solely to provide the Service.
7.3 AI-Generated Insights
AI-generated recommendations, suggestions, and insights provided by ClipIt are for informational purposes only. You may use these insights freely in your content creation, but we make no claim of ownership over content you create based on our suggestions.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- That the Service will be uninterrupted, secure, or error-free
- That AI-generated insights will be accurate or produce desired results
- That the Service will be compatible with third-party platforms indefinitely
We do not guarantee any specific outcomes, follower growth, or revenue increases from using our Service. Results depend on many factors outside our control.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from your use or inability to use the Service
- Actions taken by third-party platforms affecting your account or content
Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless ClipIt and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
We may terminate or suspend your account immediately, without prior notice, for:
- Violation of these Terms
- Fraudulent, illegal, or harmful activity
- Extended periods of inactivity
- Request by law enforcement or government agencies
- Discontinuation of the Service
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, disclaimers, and limitations of liability.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits against ClipIt.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClipIt regarding the Service. They supersede any prior agreements or understandings.
